1. Acceptance of Terms

By accessing or using Katydid ("the Service"), operated at katydid.app, you agree to be bound by these Terms of Service ("Terms"). The Service is owned and operated by Wymzy Industries LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of Arkansas. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Katydid is a web-based local delivery ordering and route planning platform designed for food businesses. The Service allows business operators ("Operators") to create online ordering pages, manage menus, accept payments from their customers ("Customers"), and plan delivery routes. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. Operator Accounts

Only business operators create accounts on Katydid. Customers who place orders do not create accounts. By creating an Operator account, you represent and warrant that you are at least 18 years of age and have the legal authority to operate a food business in your jurisdiction.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

4. Billing & Subscriptions

Katydid is offered as a monthly subscription at $9.99 per month. New Operators receive a 14-day free trial. Your subscription renews automatically each month unless cancelled. You may cancel at any time through the Service or by contacting us.

All payments are processed by Stripe. We never see, store, or have access to your full credit card number. Stripe's handling of your payment information is governed by Stripe's own terms and privacy policy.

If your subscription lapses, your ordering page will be deactivated until payment is restored. Your data, including menu items, orders, and customer information, will be retained for 90 days after cancellation, after which it may be permanently deleted.

5. Payment Processing

Customer payments are processed through Stripe Connect. When a Customer places an order, the payment flows directly to the Operator's connected Stripe account, less standard Stripe processing fees (currently 2.9% + 30 cents per transaction). Katydid does not take a commission or additional fee on transactions.

Tips included in orders are passed through in full to the Operator. Katydid does not withhold, redirect, or take any portion of customer tips.

6. Food Safety & Allergen Disclaimer

Katydid is a technology platform that facilitates ordering and delivery logistics. We do not prepare, handle, inspect, or deliver food. Operators are solely responsible for the safety, quality, labeling, and regulatory compliance of all food products sold through the Service.

Operators are responsible for complying with all applicable local, state, and federal food safety laws, including cottage food regulations, health department permits, and allergen disclosure requirements.

Katydid displays an allergen notice on all ordering pages: "This food is made in a kitchen that may contain common allergens. If you have a food allergy, please contact the operator directly before ordering." Operators may customize this disclosure but may not remove it entirely.

7. Data Handling

Customer data (names, phone numbers, addresses, order history) is isolated per Operator. No Operator can access another Operator's customer data. Operators may export their own customer data at any time.

Operators agree not to use customer data obtained through the Service for purposes unrelated to fulfilling orders, except with the customer's explicit consent.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to sell prohibited items.
• Misrepresent the nature, ingredients, or origin of food products.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape data or interfere with the Service's operation.
• Circumvent any usage limits, access controls, or security measures.

We reserve the right to suspend or terminate access for any user who violates these terms.

9. Intellectual Property

The Service, including its design, code, features, logos, and branding, is the property of Wymzy Industries LLC and is protected by applicable intellectual property laws.

Operators retain all rights to their menu content, photos, and business information uploaded to the Service. By uploading content, you grant us a limited license to display it within the Service as necessary to operate your ordering page.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE QUALITY, SAFETY, OR LEGALITY OF ANY FOOD PRODUCTS SOLD THROUGH THE SERVICE. USE OF THE SERVICE IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WYMZY INDUSTRIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY FOOD SAFETY INCIDENT RELATED TO PRODUCTS SOLD THROUGH THE SERVICE; (C) ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; (D) ANY INTERRUPTION OR CESSATION OF THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF FIFTY DOLLARS ($50.00) OR THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wymzy Industries LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, the food products you sell through the Service, your violation of these Terms, or your violation of any rights of any third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Union County, Arkansas, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
